Terms of Service

Nomi — Terms of Use

1. Introduction and Acceptance of Terms

Welcome to our Services.

These Terms of Use (“Terms”) govern your access to and use of our mobile applications, websites, software, digital content, artificial intelligence features, subscriptions, in-app purchases, and related products and services (collectively, the “Services”).

Throughout these Terms, “we,” “us,” and “our” refer to Connectinno Oyun Yazılım Teknolojileri ve Ticaret Anonim Şirketi (“Connectinno”), a company registered in Türkiye, which develops and operates Nomi and the Services covered by these Terms.

By accessing, downloading, installing, registering for, purchasing, subscribing to, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all applications and services that display, reference, or link to them. Certain applications, features, purchases, or services may be subject to additional terms. Where additional terms apply, they will be presented in connection with the relevant offering.

If you use the Services on behalf of a business or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

3. Eligibility and Age Requirements

You may use the Services only if you are legally permitted to do so under the laws applicable to you.

If you are under the age of legal majority in your jurisdiction, you must have permission from a parent or legal guardian where required by applicable law.

Certain Services or features may have additional age restrictions. Where such restrictions apply, they will be specified within the relevant application or associated product information.

Users who are not legally permitted to enter into a binding agreement must obtain any required consent or authorization before making purchases or using restricted features.

Parents and legal guardians are responsible for supervising use of the Services by minors under their care, to the extent permitted by applicable law.

We reserve the right to restrict access to age-inappropriate features and to suspend accounts that do not meet applicable eligibility requirements.

4. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install, access, and use the Services for their intended purposes.

This license does not transfer ownership of the Services or any intellectual property rights to you.

You may use the Services for personal, non-commercial purposes, or for permitted internal business purposes where the relevant application supports such use.

You may not reproduce, redistribute, commercially exploit, sublicense, or transfer any portion of the Services except where expressly permitted by us or applicable law.

All rights not expressly granted under these Terms are reserved by us and our licensors.

For applications downloaded through the Apple App Store, the license is subject to Apple’s applicable usage rules, including permitted Family Sharing or other Apple-authorized usage arrangements.

5. User Accounts and Account Security

Some features may require you to create an account or sign in using an available authentication method.

You agree to provide accurate, current, and complete information when required and to keep that information reasonably updated.

You are responsible for maintaining the confidentiality of your account credentials and protecting your account against unauthorized access.

You must not intentionally share your credentials in a manner that compromises the security of the Services or allows unauthorized use.

You agree to notify us promptly at support@nomiagents.com if you become aware of unauthorized access, suspicious activity, or a security incident involving your account.

We may implement authentication, verification, or security measures to protect users and the Services.

We may suspend, restrict, or terminate accounts involved in fraudulent activity, serious security violations, or material breaches of these Terms, subject to applicable law.

Where account deletion is supported, you may request deletion through the available in-app functionality or by contacting us.

Deleting an account does not automatically cancel an independently billed subscription through the Apple App Store, Google Play, or another payment provider.

Information associated with a deleted account may be retained where required or permitted by applicable law, legitimate security obligations, dispute resolution requirements, or our Privacy Policy.

6. Acceptable Use and Restrictions

You agree to use the Services lawfully and in accordance with these Terms.

You must not:

  1. Use the Services for unlawful, fraudulent, abusive, harmful, or misleading purposes.
  2. Violate the privacy, intellectual property, contractual, or other legal rights of any person.
  3. Access or attempt to access accounts, systems, networks, or information without authorization.
  4. Interfere with or disrupt the performance, security, or integrity of the Services.
  5. Introduce malware, viruses, malicious code, or other harmful technology.
  6. Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services, except where permitted by applicable law.
  7. Copy, redistribute, resell, rent, lease, sublicense, or commercially exploit the Services without authorization.
  8. Remove or obscure copyright, trademark, ownership, or other proprietary notices.
  9. Use bots, crawlers, scrapers, or automated tools to extract content or access the Services without authorization.
  10. Circumvent usage limits, authentication systems, subscription restrictions, payment requirements, or security measures.
  11. Submit content that is unlawful, defamatory, threatening, harassing, discriminatory, deceptive, or otherwise violates applicable law.
  12. Impersonate another person or falsely represent your identity or authority.
  13. Use AI Features to generate, facilitate, or perform unlawful or unauthorized actions.
  14. Use the Services to send spam, fraudulent communications, or unauthorized marketing messages.
  15. Use another person’s personal information without the necessary rights, permissions, or lawful basis.
  16. Use the Services in a manner that violates applicable third-party platform rules.
  17. Use the Services or their outputs to develop competing products, train AI systems, or conduct unauthorized commercial benchmarking where such restrictions are enforceable under applicable law.

We reserve the right to investigate suspected violations and take proportionate action, including removing content, restricting functionality, or suspending access where permitted by law.

We are not obligated to monitor all user activity or content.

7. Artificial Intelligence and Automated Features

7.1 Nature of AI Features

Certain Services may use artificial intelligence, machine learning, automated systems, or third-party AI technologies to generate, analyze, classify, summarize, process, or recommend information.

Depending on the application, AI Features may assist with content creation, information organization, scheduling, reminders, communication, document analysis, image processing, task management, or other supported functionality.

The capabilities available to you depend on the particular application, account, permissions, subscription, device, region, and feature availability.

Not every Service includes artificial intelligence or autonomous task execution.

7.2 AI Accuracy and Reliability

You acknowledge that AI-generated and automated results may be inaccurate, incomplete, outdated, inconsistent, inappropriate, or unsuitable for your intended purpose.

AI systems may misunderstand instructions, omit important information, produce incorrect interpretations, or generate results that differ from your expectations.

We do not guarantee that AI-generated content or automated results will be accurate, complete, unique, reliable, or suitable for any particular purpose.

You are responsible for reviewing and evaluating information generated by AI before relying on it.

You should independently verify important facts, calculations, dates, recipients, recommendations, and decisions.

7.3 Non-Unique Outputs

Because of the nature of artificial intelligence and machine learning, different users may receive identical or substantially similar outputs.

We do not guarantee that any generated result will be original, unique, copyrightable, or free from similarities to third-party content.

Your rights to use AI-generated content are subject to applicable law, third-party rights, and these Terms.

7.4 AI Feature Availability

AI Features may rely on third-party providers, external APIs, network connectivity, cloud infrastructure, or compatible device capabilities.

We may modify, replace, limit, suspend, or discontinue AI Features, subject to applicable law and any commitments associated with paid Services.

8. AI Agent Authorization and Actions

8.1 AI Agent Functionality

Certain Services may include AI-powered assistants or agents designed to perform supported tasks in response to your instructions.

Depending on the functionality made available, these tasks may include creating or modifying calendar events, managing reminders, organizing information, preparing drafts, assisting with communications, accessing connected services, or performing other supported actions.

An Agent Action occurs only through functionality made available within the relevant Service.

8.2 User Authorization

By instructing an AI Agent to perform an action, you authorize us, through the relevant automated functionality, to carry out the requested action within the scope of your instructions and the permissions you have granted.

Your authorization is limited to the relevant task and any additional permissions you expressly provide.

Where the Services support recurring instructions, scheduled automations, or ongoing tasks, authorization may extend to those activities within the scope disclosed to you.

This authorization does not give us unlimited authority to act on your behalf.

We do not become your general legal representative, financial adviser, fiduciary, or agent for purposes unrelated to the specific functionality and authorizations provided through the Services.

8.3 Confirmation and User Control

Certain actions may require your review, confirmation, or approval before execution.

Where an action requires confirmation through the Service, it will be performed only after the applicable confirmation requirements are satisfied.

Other actions may be performed automatically where the relevant feature expressly supports automation and the user has provided the necessary authorization.

You are responsible for reviewing the scope of permissions, task settings, recipients, scheduled actions, and any available automation controls.

You may modify or revoke permissions using the available Service controls or the settings of the relevant connected platform.

Revoking authorization may prevent future actions but may not reverse actions that have already been completed.

8.4 Responsibility for Agent Actions

You are responsible for providing lawful, accurate, and sufficiently clear instructions.

You acknowledge that automated actions can be affected by incomplete information, ambiguous requests, third-party errors, unavailable services, or technical failures.

Where an AI Agent prepares a message, calendar event, reminder, document, or other action, you should verify important details before relying on or approving that action.

We do not guarantee that every requested task will be completed successfully or within a specific timeframe.

To the maximum extent permitted by applicable law, we are not responsible for losses resulting from incorrect user instructions, unauthorized user activity, third-party failures, or decisions made in reliance on unverified AI results.

Nothing in this section excludes responsibility that cannot legally be excluded, including liability arising from our own legally actionable misconduct or failure to meet mandatory obligations.

8.5 Time-Sensitive Actions

Automated reminders, notifications, messages, scheduled operations, and other time-sensitive actions may be delayed, interrupted, or unsuccessful due to technical limitations, network conditions, device settings, permissions, or third-party service availability.

You should not rely exclusively on the Services for critical deadlines, emergencies, safety-sensitive situations, or legally significant obligations.

9. Connected Accounts and Third-Party Integrations

Certain Services may allow you to connect compatible third-party accounts, applications, or platforms.

These may include supported calendar providers, email services, contact systems, cloud storage platforms, communication tools, or other integrations.

When you connect a Third-Party Service, you authorize access to the data and functionality expressly covered by the permissions you grant.

Access may include reading, organizing, creating, updating, or deleting supported information, depending on the feature and permissions granted.

You are responsible for ensuring that you have the legal right to connect the relevant account and authorize the requested access.

Third-Party Services operate under their own terms, privacy policies, security requirements, and technical limitations.

We do not guarantee their continued availability, compatibility, reliability, or performance.

You may revoke connected account permissions using the available integration settings or through the relevant third-party provider.

Revocation may limit or disable associated features.

We are not responsible for changes, restrictions, errors, or interruptions imposed by independent Third-Party Services, except where applicable law provides otherwise.

10. Voice Features, Audio Processing, and Communications

Certain Services may support voice commands, audio input, speech recognition, transcription, voice responses, or other audio-based functionality.

When you use such features, audio and related information may be processed as necessary to provide the requested functionality, as further described in our Privacy Policy.

The availability of audio recording, transcription, storage, or automated communications depends on the specific feature and its implementation.

Not all voice interactions are necessarily recorded or permanently stored.

If a feature permits you to record, transcribe, send, or otherwise process communications involving another person, you are responsible for obtaining any notices, permissions, or consents required by applicable law.

You must not use the Services to record communications unlawfully, impersonate individuals, or send unauthorized messages or calls.

Where automated communications with third parties are supported, you must comply with applicable communications, recording, privacy, anti-spam, and consent requirements.

We do not guarantee uninterrupted audio processing, accurate transcription, or successful delivery of every communication.

11. User Content, Input, and Output

11.1 Ownership of User Content

You retain ownership of User Content that you lawfully create, upload, submit, or provide through the Services.

We do not claim ownership of your original photographs, files, documents, recordings, personal information, or other User Content merely because you use the Services.

You represent that you have the necessary rights, permissions, and authority to submit and use the content you provide.

11.2 Input and Output Rights

You retain any rights you have in your Input.

As between you and us, and subject to applicable law, third-party rights, and your compliance with these Terms, we grant you the rights we hold in Output generated for you to use for lawful purposes.

This does not transfer ownership of our underlying software, AI models, systems, tools, trademarks, user interfaces, or proprietary technology.

AI-generated Output may not qualify for intellectual property protection in every jurisdiction.

We do not guarantee exclusive rights in any Output.

11.3 License to Process Content

You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, modify as technically necessary, and display to you your User Content, Input, and Output for the purposes of providing, maintaining, securing, supporting, and operating the Services.

This license includes processing by service providers acting on our behalf where necessary to deliver the relevant functionality and consistent with our Privacy Policy.

The license does not automatically authorize public publication or marketing use of your private content.

Any use of personal information for AI model training or service improvement, where applicable, must be consistent with our Privacy Policy, applicable law, and any required permissions or user choices.

11.4 User Responsibility

You are responsible for ensuring that your User Content does not violate applicable law or third-party rights.

You must not upload or submit material that infringes intellectual property rights, violates privacy obligations, contains unlawful content, or compromises the security of the Services.

We may remove or restrict access to content that violates these Terms or applicable law, subject to applicable notice and legal requirements.

11.5 Content Storage and Deletion

Content storage, retention, export, and deletion depend on the functionality of the relevant Service and our Privacy Policy.

Deleting content or an account may result in the loss of access to associated information.

Certain information may remain in backups or be retained where required or permitted by law, including for security, fraud prevention, legal claims, or compliance obligations.

You are responsible for maintaining independent backups of important information where appropriate.

12. Purchases, Subscriptions, and Payments

12.1 General

The Services may offer free features, paid subscriptions, premium access, one-time purchases, credits, or other digital entitlements.

The price, billing period, included features, and applicable purchase conditions will be displayed in connection with the relevant offering.

Purchases may be processed through Apple, Google, Paddle, or another supported payment provider. For Nomi purchases made through a Paddle-enabled checkout, Paddle acts as the merchant of record and authorized reseller for the transaction, and Paddle’s applicable Buyer Terms and refund procedures apply.

Your payment may also be subject to the terms and billing policies of the platform through which you make the purchase.

12.2 Automatic Renewal

Subscriptions may automatically renew at the end of each billing period unless canceled in accordance with the applicable payment platform’s requirements.

By purchasing an automatically renewing subscription, you authorize the relevant payment provider to charge the applicable subscription price and any required taxes at each renewal.

The applicable subscription period, price, and renewal conditions will be disclosed before purchase.

Subscription pricing may vary based on region, currency, taxes, promotional eligibility, and the plan selected.

12.3 Free Trials and Promotional Offers

Certain subscriptions may include a free trial, introductory price, or promotional offer.

Where a free trial converts into a paid subscription, the trial duration, future subscription price, billing frequency, and cancellation requirements will be disclosed before enrollment.

Unless canceled in accordance with the applicable subscription terms, an automatically renewing subscription may begin charging when the trial or promotional period ends.

Free trials and introductory offers may be limited to eligible users and may not be available to every account or region.

Deleting the Application does not automatically cancel a free trial or subscription.

12.4 Subscription Cancellation

You may cancel an automatically renewing subscription through the platform where it was purchased.

For Apple purchases, subscription management is generally available through:

iPhone or iPad Settings → Apple Account → Subscriptions

For Google Play purchases, subscription management is generally available through:

Google Play → Payments & subscriptions → Subscriptions

For purchases made through Paddle, you may cancel through the customer portal linked in your purchase confirmation email or through https://paddle.net. For purchases made through another provider, the applicable cancellation procedure will be available through that provider or the relevant Service.

Cancellation generally prevents future renewal charges.

Unless otherwise specified by the applicable platform or required by law, access to paid features normally continues until the end of the already paid billing period.

Uninstalling the App, signing out, or deleting an account does not by itself cancel an active subscription.

12.5 Subscription Changes

We may modify subscription features, plans, pricing, or availability from time to time.

Any changes affecting existing subscriptions will be implemented according to applicable law and the rules of the relevant payment platform.

Where notice or consent is required for a price change, the applicable notice or consent process will be followed.

12.6 Payment Authorization

You represent that you are legally authorized to use the payment method associated with a purchase.

You agree to provide accurate payment-related information where required.

Payment processing may be performed by third-party providers, and their separate payment terms may apply.

We do not guarantee that every payment method, currency, or payment provider will be available in every region.

13. Credits and Digital Entitlements

Certain Services may offer credits, usage balances, tokens, or similar digital entitlements.

Credits may be purchased separately, included in a subscription, granted through promotions, or otherwise made available within a Service.

Credits may be required to access certain AI operations, premium features, content generation tools, or other functionality.

The number of credits required for a feature may vary depending on the Service and operation.

Where credits are offered:

  1. Credits represent limited digital usage entitlements and are not cash, legal tender, or a financial deposit.
  2. Credits generally may be used only within the specific Service or account for which they are provided, unless expressly stated otherwise.
  3. Credits may not be sold, exchanged for cash, or transferred to another user except where expressly permitted.
  4. Any expiration period, renewal behavior, rollover conditions, or usage restrictions will be disclosed through the applicable purchase information or feature terms.
  5. Promotional credits may be subject to separate eligibility and use conditions.
  6. We may correct credit balances affected by technical errors, duplicate grants, fraud, or unauthorized activity.
  7. If a credit purchase is refunded, associated unused credits or corresponding entitlements may be reversed to the extent permitted by law.

Credit pricing and usage requirements may change prospectively, subject to applicable consumer protection obligations.

Purchased credits and subscription entitlements are separate unless the relevant offer expressly states otherwise.

Nothing in this section limits statutory rights relating to defective digital content, unavailable purchased features, refunds, or other mandatory consumer protections.

14. Returns, Refunds, and Billing Disputes

Refunds for subscriptions, in-app purchases, credits, and digital content may depend on the payment platform, purchase type, applicable law, and circumstances of the request.

Purchases processed through the Apple App Store are generally subject to Apple’s applicable billing and refund procedures.

Purchases processed through Google Play are generally subject to Google’s applicable billing and refund procedures.

For purchases processed through Paddle, Paddle acts as the merchant of record and authorized reseller. Refund, withdrawal, and cancellation requests are handled under Paddle’s applicable Buyer Terms and Refund Policy (https://www.paddle.com/legal/refund-policy); requests can be made through https://paddle.net. Purchases made directly through another payment provider may be subject to the applicable purchase terms and refund procedures presented at checkout.

Our Nomi Refund Policy is available at the refund-policy link provided on our website or at checkout. Nothing in that policy overrides mandatory rights or Paddle’s applicable terms.

To request assistance with a purchase, subscription, billing issue, or refund, contact:

support@nomiagents.com

We may request relevant transaction information to identify and investigate the issue.

We do not guarantee approval of every refund request.

However, nothing in these Terms excludes or restricts refund, cancellation, withdrawal, or other consumer rights that cannot be waived under applicable law.

Where digital content is defective, unavailable, or materially different from what was promised, you may have additional legal remedies.

If you believe a payment is incorrect, duplicated, or unauthorized, you should contact the relevant payment platform, payment provider, or us as soon as reasonably possible.

Nothing in these Terms limits rights you may have to dispute charges through your bank, card issuer, or applicable consumer protection authority.

15. Third-Party Transactions and AI-Assisted Purchases

Certain Services may assist users in identifying, comparing, arranging, or managing goods, services, reservations, bookings, or other transactions offered by third parties.

Where supported, an AI-powered feature may prepare or initiate a transaction based on a user’s instructions and authorization.

The availability of such functionality depends on the specific Service.

Unless expressly stated otherwise, any purchase, booking, reservation, or agreement with a Third-Party Provider is between you and that provider.

The Third-Party Provider’s prices, availability, payment conditions, cancellation rules, refund policies, delivery obligations, and service terms generally govern the underlying transaction.

We do not guarantee the availability, price, quality, legality, delivery, timing, or performance of independent third-party goods or services.

You are responsible for reviewing material transaction details, including prices, recipients, dates, quantities, and cancellation terms, before providing any required approval.

Where we expressly act as a seller, merchant of record, or contractual service provider, our legal responsibilities will be determined by the applicable transaction terms and law.

Nothing in these Terms authorizes us to initiate payments, purchases, or binding transactions beyond the permissions and functionality you have actually been provided.

16. Third-Party Services and External Links

The Services may contain or provide access to third-party websites, applications, advertisements, content, APIs, payment systems, analytics tools, cloud infrastructure, or other external technologies.

Such services are not necessarily owned, managed, endorsed, or controlled by us.

We are not responsible for the independent policies, practices, security, accuracy, availability, or performance of Third-Party Services, except to the extent required by applicable law.

Your use of Third-Party Services may be governed by separate terms, privacy notices, and agreements.

You are responsible for reviewing and complying with applicable third-party terms.

We may add, replace, restrict, or discontinue integrations where reasonably necessary for technical, legal, security, or operational reasons.

17. Intellectual Property Rights

The Services, including their software, source code, interfaces, graphics, layouts, designs, animations, logos, trademarks, text, audio, video, features, proprietary systems, and other original materials, are owned by us or our licensors.

These materials are protected by applicable copyright, trademark, trade secret, patent, and other intellectual property laws.

Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

You may not copy, reproduce, modify, distribute, publish, sell, license, or commercially exploit protected portions of the Services without authorization.

Nothing in this section transfers ownership of User Content to us.

18. Suggestions, Submissions, and Feedback

You may voluntarily provide comments, suggestions, feature requests, ideas, recommendations, or other feedback regarding the Services.

By submitting such feedback, you grant us permission to use, reproduce, modify, adapt, and implement it for lawful purposes, including developing and improving our products and services, without an obligation to provide compensation or attribution.

This section applies to voluntary product feedback and does not automatically make private User Content publicly available.

19. Privacy and Personal Information

Your privacy is important to us.

Our Privacy Policy describes how personal information may be collected, used, stored, shared, retained, and protected in connection with the Services.

Depending on the functionality provided, information processed may include account details, device information, usage information, connected-service data, user-submitted content, or information required to perform requested operations.

The categories and purposes of processing depend on the relevant Service and its features.

Where required by law, we will obtain any necessary consent or provide applicable user choices.

The Privacy Policy is accessible through the relevant Application or associated website.

Your use of the Services does not eliminate any privacy rights provided by applicable data protection law.

20. Cookies and Similar Technologies

Our websites and certain application features may use cookies, local storage, software development kits, analytics technologies, and similar mechanisms.

These technologies may support functionality, preferences, authentication, security, performance analysis, or service improvements.

Where applicable law requires consent for optional technologies, we will provide the appropriate consent mechanisms.

You may be able to manage certain technologies through browser settings, device settings, or available privacy controls.

Disabling some technologies may affect the availability or functionality of certain features.

Additional information is provided in our Privacy Policy.

21. Service Availability, Modifications, and Updates

We may periodically provide updates, bug fixes, security patches, performance improvements, or feature changes.

The Services may change over time as technology, user needs, legal requirements, and third-party systems evolve.

We may add, modify, restrict, suspend, or discontinue features where permitted by applicable law.

Some updates may be necessary to maintain compatibility or security.

We do not guarantee that every feature will remain available indefinitely or that the Services will operate on every device or operating system.

Where changes materially affect paid functionality, we will comply with applicable contractual obligations, notice requirements, and consumer protection laws.

We may temporarily interrupt access for maintenance, security incidents, technical failures, or circumstances beyond our reasonable control.

22. Suspension, Termination, and Account Deletion

These Terms remain effective while you use the Services, unless terminated in accordance with their provisions.

You may stop using the Services at any time.

Where account deletion is supported, you may request deletion using the available functionality or contact us at support@nomiagents.com.

We may suspend or terminate access where reasonably necessary because of:

  • A material violation of these Terms.
  • Fraudulent, unlawful, or abusive activity.
  • Security threats or unauthorized access.
  • Violations of third-party rights.
  • Legal or regulatory obligations.
  • Material misuse of payment systems or service functionality.

Where required by law, we will provide appropriate notice or an opportunity to remedy a violation.

Termination of access does not automatically cancel independently billed subscriptions.

Upon termination, your license to use the affected Services ends, except where applicable law or other surviving rights provide otherwise.

Provisions concerning payment obligations, intellectual property, content rights, liability limitations, disputes, and other provisions that by their nature should survive termination will continue to apply to the extent legally enforceable.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM WARRANTIES AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, EXCEPT WHERE SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

THIS INCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY, TO THE EXTENT PERMITTED BY LAW.

WE DO NOT WARRANT THAT:

  • The Services will meet every user’s requirements.
  • The Services will achieve a particular result.
  • The Services will be uninterrupted, timely, secure, or error-free.
  • Every defect or technical issue will be corrected immediately.
  • AI-generated content will always be accurate, complete, unique, or appropriate.
  • Automated actions will always be completed successfully.
  • Third-Party Services will remain continuously available.
  • The Services will be compatible with every device, system, or software version.
  • The Services or related infrastructure will be completely free of vulnerabilities or harmful components.

Some jurisdictions do not permit certain warranty exclusions.

Accordingly, these exclusions apply only to the extent permitted by applicable law.

Nothing in these Terms removes mandatory consumer guarantees or other statutory rights.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

THIS MAY INCLUDE, WHERE LAWFULLY EXCLUDABLE:

  • Loss of profits or revenue.
  • Loss of business opportunities.
  • Business interruption.
  • Loss of data or digital content.
  • Service interruption.
  • Losses caused by third-party service failures.
  • Losses arising from reliance on inaccurate or unverified AI-generated information.
  • Losses arising from unauthorized actions attributable to a user’s failure to protect account access.

Where monetary limitations are legally permitted, our total cumulative liability for claims arising out of or relating to a Service will not exceed the amount you actually paid to us for the relevant Service during the twelve (12) months immediately preceding the event giving rise to the claim, or any greater minimum amount required by applicable law.

These limitations apply only to the extent permitted by law and do not exclude or limit liability for fraud, willful misconduct, gross negligence, personal injury, or other matters for which liability cannot legally be excluded or restricted.

Nothing in these Terms limits mandatory consumer remedies or statutory rights.

25. Informational and Professional Advice Disclaimer

Certain Services may provide informational, educational, religious, lifestyle, wellness, health-related, financial, collectible, productivity, aviation-related, beauty-related, or other content.

Such content is intended for general informational, educational, entertainment, or personal-use purposes, depending on the relevant Service.

Unless expressly provided by a properly qualified and authorized professional, content generated or provided through the Services should not be treated as professional medical, psychological, legal, financial, technical, or other regulated advice.

AI-generated recommendations and assessments may contain inaccuracies.

You should use independent judgment and seek appropriate professional assistance where necessary.

Health-related or wellness features are not intended to diagnose, treat, cure, or prevent medical conditions unless explicitly identified and lawfully authorized for such purposes.

Content related to travel, aviation, transportation, or personal safety should not replace official instructions, safety procedures, or information from qualified authorities.

Religious or inspirational content is provided for reflection, education, or personal use and should not be understood as a guarantee of any particular outcome.

The Services are not substitutes for emergency services or qualified professional intervention.

26. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless us, our officers, employees, representatives, and service providers from third-party claims, losses, liabilities, and reasonable legal costs arising from:

  • Your unlawful or unauthorized use of the Services.
  • Your material violation of these Terms.
  • Your infringement of another person’s intellectual property or other legal rights.
  • Content you submit without the necessary rights or permissions.
  • Fraudulent or intentionally harmful conduct.
  • Agent Actions that you unlawfully authorize or direct.

This obligation applies only to the extent the relevant claim is legally attributable to your conduct.

Nothing in this section requires you to indemnify us for losses caused by our own legally actionable misconduct or removes mandatory rights available to consumers.

27. Copyright Infringement

We respect intellectual property rights and expect users to do the same.

If you believe that content available through the Services infringes your copyright, you may submit a notice containing:

  1. Your full name and contact information.
  2. Identification of the copyrighted work.
  3. Identification of the allegedly infringing material.
  4. Information reasonably sufficient to locate the material.
  5. A statement explaining why you believe the use is unauthorized.
  6. A statement confirming the accuracy of your notice.
  7. Your physical or electronic signature, where applicable.

Copyright complaints may be submitted to:

support@nomiagents.com

We may remove allegedly infringing content, investigate complaints, and take appropriate measures against repeat infringers where required or permitted by law.

Additional information may be requested as necessary to process a complaint.

28. Apple App Store — Additional Terms

This section applies to Applications downloaded from the Apple App Store or used on Apple devices where applicable.

28.1 Acknowledgement

You acknowledge that these Terms are concluded between you and us, not Apple Inc.

We, and not Apple, are responsible for the Application and its content.

28.2 Scope of License

Your license is limited to a non-transferable right to use the Application on Apple-branded products that you own or control, as permitted by the usage rules in the applicable Apple Media Services Terms and Conditions.

Any permitted Family Sharing, volume purchasing, or similar arrangement remains subject to Apple’s rules.

28.3 Maintenance and Support

We are responsible for providing any maintenance and support required under applicable law or expressly offered in connection with the Application.

Apple has no obligation to provide maintenance or support for the Application.

28.4 Warranty

We are responsible for any applicable warranties to the extent they have not been lawfully disclaimed.

If the Application fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price of the Application, if applicable, in accordance with its obligations.

To the maximum extent permitted by applicable law, Apple has no additional warranty obligations in connection with the Application.

28.5 Product Claims

We, and not Apple, are responsible for addressing claims relating to the Application, including claims involving product liability, compliance with legal or regulatory requirements, and consumer protection or privacy legislation.

28.6 Intellectual Property Claims

If a third party claims that the Application infringes its intellectual property rights, we, and not Apple, are responsible for the investigation, defense, settlement, and resolution of such claims to the extent required by applicable law.

28.7 Legal Compliance

You represent that you are not located in a country or region subject to applicable United States government embargo restrictions and are not listed on a United States government list of prohibited or restricted parties, to the extent such restrictions apply.

28.8 Third-Party Terms

You agree to comply with all applicable third-party agreements and platform requirements when using the Application.

28.9 Third-Party Beneficiary

You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms.

Upon your acceptance of these Terms, Apple will have the right to enforce the applicable provisions against you as a third-party beneficiary.

28.10 Contact

Questions, complaints, or claims regarding the Application should be directed to us using the contact information provided in Section 34.

29. Google Play — Additional Terms

This section applies to Applications distributed through Google Play.

Your use of an Application obtained through Google Play may also be subject to applicable Google Play terms, policies, and payment conditions.

Purchases and subscriptions processed through Google Play are subject to the applicable Google Play billing procedures.

Google Play subscriptions must generally be managed through the Google account associated with the purchase.

Uninstalling an Application does not automatically cancel a Google Play subscription.

Google Play refund eligibility and processing may depend on the type of purchase, location, payment method, platform rules, and applicable consumer law.

We remain responsible for our own legal obligations relating to the Application.

Nothing in these Terms modifies mandatory rights provided by applicable law or binding platform requirements.

30. Promotions and Pricing Errors

The Services may occasionally offer discounts, promotional subscriptions, free trials, contests, giveaways, or other promotional benefits.

Such offers may be subject to separate eligibility rules, time limitations, regional availability, or additional conditions.

We reserve the right to correct genuine pricing errors, typographical mistakes, inaccurate descriptions, or technical errors, subject to applicable law.

If a purchase is canceled because of an error, any payment already collected will be refunded or otherwise resolved as required by applicable law and the relevant payment platform.

Promotional benefits may not be combined unless expressly permitted.

We may take reasonable action to prevent promotional fraud, duplicate redemption, or abuse.

31. Changes to These Terms

We may update or modify these Terms periodically to reflect changes in our Services, technology, operations, legal requirements, or business practices.

When material changes are made, we may provide notice through the Services, by email where appropriate, or through another legally permitted method.

The revised Terms will indicate the date of the latest update.

Where required by applicable law, we will obtain affirmative acceptance before material changes take effect.

Your continued use of the Services after revised Terms become effective may constitute acceptance where legally permitted and after any required notice has been provided.

If you do not agree to updated Terms, you should discontinue use of the affected Services and cancel any relevant subscription through its purchase platform.

Changes will not retroactively eliminate accrued rights or mandatory protections.

32. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law principles, except where mandatory consumer protection rules or other applicable laws require a different result.

Nothing in these Terms deprives consumers of mandatory legal protections available in their country of residence.

If a dispute arises, we encourage you to contact us first at support@nomiagents.com so that we may attempt to resolve the matter informally.

The parties may seek to resolve disputes through good-faith communication or other lawful alternative dispute resolution procedures.

If a dispute cannot be resolved informally, either party may pursue remedies before the competent courts, consumer arbitration committees, or other authorities having jurisdiction under applicable law.

Any agreement to binding arbitration must be valid under applicable law. These Terms do not impose a blanket mandatory arbitration requirement on consumers.

Nothing in this section restricts any non-waivable right to seek relief through a legally competent court or regulatory authority.

33. General Provisions

33.1 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the extent permitted by applicable law.

The remaining provisions will continue in effect.

33.2 Waiver

Failure by either party to enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

33.3 Entire Agreement

These Terms, together with applicable supplemental terms and the Privacy Policy where relevant, constitute the agreement governing your use of the Services.

They supersede prior understandings concerning the same subject matter, except where another valid written agreement expressly controls.

33.4 Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent, except where permitted by law.

We may transfer our rights and obligations in connection with a lawful merger, acquisition, restructuring, or transfer of the relevant business, subject to applicable legal requirements and protections.

33.5 No Employment or Partnership Relationship

Nothing in these Terms creates an employment, partnership, joint venture, or general agency relationship between you and us.

Any limited authorization for AI Agent functionality is governed solely by the applicable provisions concerning Agent Actions.

33.6 Notices

We may provide legally permitted notices through the Services, email, in-app communications, or other appropriate methods.

You are responsible for maintaining accurate contact information where an account requires it.

33.7 International Use

The Services may be accessed from different countries and regions.

Availability, content, features, subscriptions, and payment methods may vary by location.

You are responsible for complying with laws applicable to your use of the Services.

We do not represent that every Service is available, lawful, or appropriate in every jurisdiction.

33.8 Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.

33.9 Mandatory Rights

Nothing in these Terms excludes, restricts, or modifies any legal rights, guarantees, remedies, or protections that cannot lawfully be excluded, restricted, or modified.

If any provision conflicts with mandatory applicable law, that law will prevail to the extent of the conflict.
